Agreement

These terms are an agreement between you, and the organisation you act for, and The AI Bakkie ("we", "us"). By using the Nodara website, console or agent, you accept them. If you have a signed order form or agreement with us, it takes priority over these terms wherever the two conflict.

The service

Nodara is a remote monitoring and management platform. It is made up of a web console, an agent installed on endpoints, and supporting APIs. Together they let your administrators monitor, support, secure and update the devices they manage.

Accounts

Keep your sign-in details secure, and turn on multi-factor authentication wherever it is offered. Tell us promptly if you think someone has used your account without permission. You are responsible for the actions of the users you give access to.

Acceptable use

Install the agent only on devices you own or are authorised to manage. Tell the people who use those devices whatever the law requires you to tell them. You must not:

• use Nodara for unlawful monitoring
• use it to spread malware
• attack, overload or try to break into the service
• reverse engineer the service or the agent, except where the law allows it
• resell the service unless we have agreed to it

Your data

You keep ownership of your data. You give us the rights we need to run the service for you. We process data from your endpoints as your processor, as described in the privacy policy.

Scripts and remote access

You are responsible for the scripts, commands and remote sessions your users run. Signed command execution and consent prompts are safeguards. They do not guarantee against misuse by users you have authorised.

Fees

You pay the fees set out in your order form, plus any applicable taxes. If fees go unpaid, we may suspend the service after giving you notice.

Availability and changes

We aim to keep the service highly available. However, we make no service-level commitment unless one is included in a signed agreement. We may improve or change features over time.

Intellectual property

We own the service and the agent. During your subscription, you have a non-exclusive, non-transferable right to use them.

Feedback

If you send us suggestions, we may use them freely and without any obligation to you.

Suspension and termination

Either party may end the agreement as your order form allows. We may suspend access for a serious breach of these terms or a security risk. After termination, you can export your data for 30 days. After that, we delete it unless the law requires us to keep it.

Disclaimers

To the extent the law allows, the service is provided "as is".

Limitation of liability

Neither party is liable for indirect or consequential loss. Each party's total liability is capped at the fees paid in the 12 months before the claim. Nothing in these terms limits liability that the law does not allow to be limited.

Indemnity

You will indemnify us against claims arising from devices enrolled without authorisation, or from unlawful monitoring carried out using the service.

Governing law

These terms are governed by the laws of the Emirate of Dubai and the United Arab Emirates, and the courts of that jurisdiction have exclusive jurisdiction.

Changes to these terms

We will give notice of material changes to these terms. If you keep using the service after they take effect, you accept them.
